Terms of Service

01Agreement and precedence

These terms govern use of the Purplecop websites and, where no separate signed agreement exists, the products. If you have signed a master services agreement, order form or DPA with a Purplecop entity, that document governs and these terms fill only the gaps it leaves.

02The service

Purplecop provides the three products of the Purplecop One ecosystem and the related security services, as described in your order form. Each product is sold and deployed independently. Nothing on the marketing site forms part of the contract.

03Your account and acceptable use

• You are responsible for the security of your credentials and for what your users do.
• You will not attempt to breach or test the security of the products except under the responsible disclosure programme.
• You will not resell, sublicense or white-label the products without a written partner agreement.
• You will not upload unlawful content, malware, or personal data you have no basis to process.
• You will comply with export control and sanctions law in the USA, India and the UAE.

04Customer data and ownership

You own the data you put into the products. You grant us the licence needed to host and process it in order to provide the service. We own the products, the software and everything we create — a licence to use the service is not a transfer of intellectual property.

We may use aggregated, de-identified statistics to improve the products, provided they cannot identify you or any individual.

05Fees

Fees, currency, billing frequency and payment terms are those in your order form. [standard payment terms, late payment interest, tax treatment per entity]

06Term, suspension and termination

• The term and renewal are set in your order form.
• Either party may terminate for material breach not cured within [cure period] of written notice.
• We may suspend access without notice where continued use threatens the security of the platform or other customers, and will restore it as soon as the threat is resolved.
• On termination you may export your data for [export window], after which we delete it in line with the Privacy Policy.

07Warranties and disclaimers

We warrant that the service will perform materially as described in its documentation, and that we will provide it with reasonable skill and care. Beyond that, and to the extent the law allows, the service is provided without further warranty.

What the products do not do: they support your compliance and security programme — they do not guarantee that you are compliant with any framework or law, and they do not guarantee that you will not be breached. Certification decisions rest with your auditor and your regulator.

08Liability

Neither party excludes liability for anything that cannot lawfully be excluded — including fraud, death or personal injury caused by negligence.

Subject to that, liability is capped at [liability cap — typically fees paid in the preceding 12 months] and neither party is liable for indirect or consequential loss, or loss of profit, revenue or anticipated savings. [confirm whether data breach and IP indemnity sit outside the cap]

09Confidentiality

Each party will protect the other’s confidential information with at least reasonable care, use it only for the purpose of the agreement, and return or destroy it on request. Obligations survive termination for [survival period].

10Governing law and disputes

The governing law and forum follow the contracting entity:

11Changes

We may update these terms. Material changes take effect [notice period] after we post them, and continued use after that constitutes acceptance. Terms in a signed agreement change only by written amendment.
